Digital MSME Enablement Service
Effective Date: 01/05/2025

This Agreement (“Agreement”) is entered into between Astrastack Technologies (OPC) Private Limited, having its registered office at [Insert Registered Address], hereinafter referred to as “Astrastack”, and the subscribing party (“Client” or “You”), and governs your participation in the Digital MSME Enablement Service (“Service”).

By proceeding with the free trial or paid plan, and selecting the checkbox during digital onboarding, you acknowledge that you have read, understood, and agreed to be bound by the terms below.

1. Scope of Service

Astrastack provides advisory and strategic consulting to MSMEs in India for digital enablement, including but not limited to:

Digital strategy planning
Technology tool mapping and recommendations
Vendor and software advisory
Automation, AI tool suggestions
SOPs, dashboards, and implementation guidance

Note: Astrastack does not sell any tools, nor guarantee outcomes from third-party platforms or vendors.

2. Service Model

Services are offered on a remote-first consulting model.
Plans vary based on Client selection (Starter, Accelerator, Enterprise).
Deliverables include strategy documents, tool/vendor matching, reports, and virtual consultation.
Services may include coordination with third-party vendors, but Astrastack does not act as a reseller or warranty provider.

3. Client Eligibility & Selection

Astrastack reserves the full right to accept or reject any service application at its sole discretion.
Clients must be MSMEs operating in India under recognized structures (Proprietorship, Partnership, LLP, Pvt. Ltd., etc.).

4. Fee, Refund & Cancellation

Service fees are payable in advance for monthly or quarterly plans.
No refunds are issued after service commencement or onboarding.
Clients may cancel the service with 15 days prior written notice.
Astrastack reserves the right to suspend service for non-payment or breach of terms.

5. Referral, Commissions & Vendor Relationship

Astrastack may receive referral commissions, partner incentives, or service facilitation fees from selected vendors or tools.
These relationships are independent and disclosed to the Client where relevant.
Clients are not obligated to select any specific vendor recommended by Astrastack.

6. Confidentiality & Data Usage

Both parties agree to maintain confidentiality regarding business data, strategies, and trade information.
Client data will only be used for service delivery and improvement purposes, in accordance with Astrastack’s [Privacy Policy].

7. Limitations of Liability

Astrastack is not liable for:

Performance of third-party tools or vendors.
Revenue or business loss resulting from decisions made by Client.
Delays caused by incomplete or inaccurate information from the Client.

8. Intellectual Property

Any documentation, strategy, templates, SOPs, or processes shared by Astrastack remain its intellectual property.
Clients are granted a non-exclusive, non-transferable license to use deliverables for their internal business only.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India. Disputes, if any, shall be subject to the exclusive jurisdiction of the courts of [Insert Your Registered Jurisdiction, e.g., Pune, Maharashtra].

10. Acceptance

By selecting the checkbox or using this service, you affirm:

That you are an authorized representative of your organization.
That you accept and agree to all terms outlined herein.
